focuses on capital market transactions, acquisitions and divestures, investment fund formation (public and private), private
equity transactions and general corporate matters.
An important feature of our services
is our ability to draw on our extensive, established network of legal specialists to assist our clients in key areas
where deep knowledge of particular specialties may be required. Key examples are our relationships with specialists
in patent prosecution in a wide variety of technical fields, '40 Act matters, and complex tax and ERISA matters.
We coordinate with these specialists and the client on a case by
case basis, with the specialist working as a part of the WinstonLoweLLC team. From the client's point of view, the specialist's
role is transparent--WinstonLoweLLC manages the project and integrates the specialist's advice and work product in the
overall service the client receives. In other situations, WinstonLoweLLC assists the client in identifying and retaining
a qualified specialist to meet their needs, managing the specialist on behalf of the client. In all cases, WinstonLoweLLC
provides highly skilled, timely and cost effective legal and advisory services to its clients.
Winston I. Lowe has served as counsel to various investment management
and financial services firms, public pension funds, institutional and private investors, sponsors of investment funds (public
and private), equipment lessors and lessees and early- and late-stage entrepreneurial companies.
Winston was previously senior vice president, general counsel, chief compliance officer and secretary
of GE Capital Rail Car Services Corp., a $6 billion global leasing and operating subsidiary of GE Capital. During his
24 years at the General Electric Company, including 15 years at GE Capital, he served as counsel to the mobile telecommunications,
power systems, consumer hardware, and financial services business units, handling a variety of corporate generalist matters,
compliance and corporate governance matters, and the acquisition and divesture of distressed and mix-asset portfolios.
A shareholder at Buchanan Ingersoll & Rooney, PC, a top 100 law firm for eight years
prior to forming WinstonLoweLLC, Winston has, among other things, represented large pension funds and various private
investors in negotiating investments in private equity funds, real estate funds and fund of fund investment vehicles.
He has represented large insurance companies in the divestiture of private equity portfolios into the secondary
market. He has also represented various private equity funds in connection with the acquisition of investments
in various portfolio companies and represented portfolio companies in connection with the receipt of equity or debt financing
from equity funds and institutional investors and financing services. In addition, he has handled the structuring
and formation of private equity funds and hedge funds, including consultation on offshore structures for hedge funds.
With respect to investment management, he has represented numerous investment advisors with
initial startup, financings and registration with the SEC and state securities regulatory authorities and prepared compliance
manuals, investment advisor agreements, custodial agreements, clearing agreements, employment agreements and advised on incentive
compensation plans for investment advisor personnel. He has also provided counsel on setting up investment funds
for various state and municipal governmental bodies including college savings programs and a fund which provides
home care options for the elderly.
Winston has negotiated and documented a variety
of equipment leasing structures, including operating leases, finance leases, leveraged leases, synthetic leases and other
specialized leasing structures for big ticket, middle and small ticket equipment, including aircraft, rolling stock,
marine, computer and medical equipment and systems.
Winston received his
JD degree from Columbia University School of Law and his BA, cum laude, from Fairleigh Dickinson University. A member
of Fairleigh Dickinson's Pinnacle Society, and recipient of the Distinguished Alumni Award, Winston is a member of the Board
of Trustees and serves on the Finance, Audit and Investment Committee of the Board. He is also a current board member
and member of the Corporate Governance Committee of The Haverford Trust, and chairman of the Board of Trustees of
the Jubilee School.
